Musk looks at takeover of Twitter!

What a gambit! Either he takes over Twitter or he makes a busload of money just selling what he bought a couple of weeks ago.
Elon Musk offered to buy Twitter for $54.20 a share in a filing published Thursday, saying the social media company needs to be transformed privately, a little over a week after first revealing a 9.2% stake in the company. Musk’s offer values Twitter at about $43 billion.
“I invested in Twitter as I believe in its potential to be the platform for free speech around the globe, and I believe free speech is a societal imperative for a functioning democracy,” Musk wrote in a letter sent to Twitter Chairman Bret Taylor and disclosed in a securities filing.
Twitter shares were up about 4% Thursday morning after closing at $45.85 a share on Wednesday. Tesla’s stock dipped more than 3% on the news.
I am not 100% sure that Musk really wants to buy Twitter or if he is just driving the price up to the point where he can sell off his original investment and make a few hundred million. Does he really "want" to invest 50 billion (he is worth about 250 billion) on Twitter or is he just looking to garner some big profits?

The funny thing is that his offer is almost too good to turn down. A practical board of directors looking out for the best interest of their shareholders would have to give serious consideration to this offer or risk losing their shareholders a big return on their investment. Will they really choose their personal woke politics over shareholder interest? After all, any public company represents the shareholders, not themselves.

Or perhaps if they turn down the offer and twitter share price drops again, perhaps Musk can continue to buy more and more shares. The closer he gets to 51% the more leverage he would have for a takeover. This could be a longer term deal for him.

Newsweek
Is Elon Musk a Trump Supporter?

What Tesla CEO Has Said About Former POTUS
4/14/22
The question of just what Elon Musk thinks of Donald Trump will be raised yet again after the Tesla and SpaceX CEO offered to buy Twitter for $43 billion.

Musk, who recently became Twitter's biggest shareholders but turned down an offer to join the social media company's board, revealed the offer amounting to $54.20 per share in a regulatory filing on Wednesday.

After the billionaire became Twitter's largest shareholder with a 9.2 percent stake in the company, a number of conservative figures urged Musk to reinstate Trump to the platform, from which the former president was banned over fears he could incite more violence in the wake of the January 6 attack on the Capitol.

For years, Musk, a registered independent voter who previously described his views as moderate, has claimed that he tries not to get too involved in politics, despite spending millions lobbying both main political parties.

Now Musk is attempting a new takeover of Twitter, the question of whether the world's richest man supports Trump could yet be fully addressed. Below, Newsweek details what Musk has said about Trump over the years, as well as other times he has weighed in on the world of politics.

Is Elon Musk a Trump Supporter?

In November 2016, on the eve of the election in which Trump beat Hilary Clinton, Musk declared that he doesn't believe that the Republican is the right person for the White House.

"I feel a bit stronger that he is probably not the right guy," Musk told CNBC. "He doesn't seem to have the sort of character that reflects well on the United States."

UNDERSTATEMENT!

However, just one month later Musk agreed to join Trump's "Strategic and Policy" advisory team for his incoming administration, a group that also included Uber CEO Travis Kalanick and PepsiCo CEO Indra Nooyi.

In January 2017, Musk criticized Trump's travel ban on countries with predominantly Muslim populations, describing it as "not the best way to address the country's challenges."

"Many people negatively affected by this policy are strong supporters of the US. They've done right, not wrong & don't deserve to be rejected," Musk wrote in a tweet.

The following month, also on Twitter, Musk dismissed criticism about his working with Trump, saying:
"People should push to have as many moderates advising the President as possible. Blind hate is never the right answer."

In June 2017, Musk announced that he would be leaving Trump's business advisory council in protest of the president's pulling the U.S. out of the Paris climate agreement. "Climate change is real. Leaving Paris is not good for America or the world," Musk tweeted.

Actually once he plus any other group of similarly inclined shareholders hold over 50% they in fact will be able to do as they please (within legal limits). It doesn't have to be just him.

I almost expect someone like Bezos or Gates to come up with another offer.

Soros has already wasted 30 or 40 billion on his politics, doesn't have enough left to make a serious offer.

Gates may not be able to since he's hiding behind his foundation but then again I guess they could find financing, though Musk is talking all cash...

In May 2020, Musk tweeted "thank you!" after Trump supported the CEO's controversial plans to reopen Tesla's car factory in California in violation of the restrictions in place amid the COVID-19 pandemic. Musk had previously called stay-at-home orders "fascist" during a Tesla earnings call. He has since moved Tesla's headquarters from California to Texas.

In September 2021, Texas Governor Greg Abbott said Musk wanted to get out of California because it was too liberal, while claiming that the Tesla CEO "consistently tells me that he likes the social policies in the state of Texas."

Abbott made the claim as Texas was introducing the controversial abortion bill that bans the procedure in almost all circumstances after around six weeks.

While responding to the comments, Musk tweeted to CNBC reporter Michael Sheetz: "In general, I believe government should rarely impose its will upon the people, and, when doing so, should aspire to maximize their cumulative happiness."

"That said, I would prefer to stay out of politics," he said.

The one time Musk has given an outright backing of a presidential candidate was in August 2019, when he threw his support behind Democratic presidential candidate Andrew Yang.

Explaining in a tweet why he supported the Democrat, Musk said universal basic income, an idea Yang backed, was "obviously needed."

In September 2020, when the two election candidates were whittled down to Trump and Biden, Musk said he was waiting to see how the upcoming presidential debates turned out before deciding who to vote for.

"I think that's probably the thing that will decide things for America. I think people just want to see if Biden's got it together," Musk told the Sway podcast.

AND AFTER THE DEBATES, THE NATION VOTED FOR BIDEN.

The left has shown us time and again that they utterly despise free speech, the concept behind it, the First Amendment, and the very thought that an opposing viewpoint be allowed to exist let alone shared in public.

The left must squelch all opposing viewpoints and make illegal the sharing of them in pursuit of their goals.

It's fascism straight up.

Genuine free speech is just that - genuine. Total and complete. Absolute. To all comers. With no self-appointed 'fact-checkers' (read: censors) to 'examine' and 'refute' the 'lies.'

When speech is truly unencumbered and truly free, the 'overwhelming' of the debate is a complete non-issue, and those who would whine about that are the fascist camel's nose under the tent to embark on a censorship path.

The very best thing that Musk can do if he manages to get it bought is to throw open the doors to all, and only police that which might be illegal. Other than that everything else should be fair game.

Note who is whining and crying and wailing the most over the Musk purchase - those who are exclusively on the LEFT.

Ask yourself why that is.

C.H. Truth said...

Nope...

he will not set up "fact checkers" that will "check facts" in a manner that corresponds to his own personal beliefs.

He most certainly will not be using the same Twitter standards to determine what is and is not unexamined vs examined facts or lies.

Remember... Twitter banned the "lies" about Hunter Biden's laptop that turned out to be completely true. 90% of what they banned about Covid turned out correct.

Fact checking doesn't work when you are fact checking two opinions and determining one to be factual and one that is non-factual.

Maybe not

NEW YORK, April 14 (Reuters Breakingviews) - There are offers that are too good to refuse. Elon Musk’s $41 billion bid for Twitter (TWTR.N) is not one of them. The world’s richest man says he will pay $54.20 a share for the social network, but may sell his 9% stake if the company rejects his non-binding offer, which he describes as “best and final." Twitter has multiple reasons to hold out for more.

If this were a standard takeover, the price might look compelling. Musk is dangling a 38% premium to the last closing price before he unveiled his stake on April 4. Twitter’s business is expected to throw off about $400 million of operating profit in 2024, according to forecasts compiled by Refinitiv. After deducting tax, and factoring in Twitter’s roughly $2 billion of net cash, Tesla’s (TSLA.O) boss would earn a return of roughly 1% on his investment.

Twitter’s board said on Thursday it is carefully examining the offer. That’s a welcome change from the three-paragraph agreement directors hastily extracted from Musk when inviting him to join the board on the day he unveiled his stake. They cannot ignore the entrepreneur and his 82 million followers. But they are right to be careful.

The main problem is taking Musk at his word. It’s less than a week since Musk walked read more away from the deal to buy no more than 14.9% of the company. In 2018, he claimed he had secured financing to possibly take Tesla private, but that turned out not to be true. Musk’s offer also depends on government approvals and due diligence, giving him potential excuses to back out. Musk’s late read more disclosure of his initial Twitter stake might also delay the process.

Musk’s offer depends on completing financing, though that should be less of an obstacle. He sold over $16 billion in Tesla stock last year, and still owns a roughly 17% stake in the $1 trillion automaker. Banks have been happy to lend against Musk’s shares in the past.

Then there’s the question of price. Twitter’s stock was trading about 30% higher than the bid in the summer of 2021. Companies like Disney (DIS.N) and Salesforce.com (CRM.N) have kicked the tires at Twitter in the past and might jump in if the company put itself up for sale.

After an initial pop, Twitter shares were trading at around $47 on Thursday morning, suggesting that investors doubt that Musk is serious. The board can afford to be equally skeptical.

But the walls are collapsing on Trump

Miller 'to testify today to January 6 panel'

Big news from the House investigation into the Capitol riot: Stephen Miller, Donald Trump’s former top adviser, will give testimony to the panel today, according to the Associated Press.

 Stephen Miller.
Photograph: Evan Vucci/AP

The reported cooperation of Miller is further evidence that the inquiry is lapping at the doors of the Trump Oval Office, after the former president’s daughter and son-in-law, Ivanka Trump and Jared Kushner, both former senior White House advisers, gave their own testimony in recent weeks.

According to two sources cited by the AP, it is unclear if Miller will appear in person or virtually before the nine-member bipartisan panel.

But the fact he is appearing at all is a significant development, and likely another major blow to Trump’s efforts to shield information about his movements on the day of the insurrection and subsequent efforts to overturn the presidential election he lost to Joe Biden.

Miller, considered Trump’s top aide through the entirety of his single term in office, has fiercely resisted previous efforts to get him to testify after receiving a subpoena in November, the AP says.

At the time, Bennie Thompson, the Mississippi Democrat who chairs the panel, said Miller had “participated in efforts to spread false information about alleged voter fraud”, the basis of Trump’s big lie that his election defeat was fraudulent.

How cooperative Miller will be in terms of the testimony he has to offer remains to be seen. It is likely that Miller’s decision to appear was prompted by last week’s House vote to hold former Trump advisers Peter Navarro and Dan Scavino in contempt for their refusal to comply with their own subpoenas.

Billionaire Tesla CEO Elon Musk acknowledged Thursday at the TED2022 conference in Vancouver that he is “not sure” he’ll actually be able to buy Twitter. The comments came hours after a regulatory filing revealed that he offered to acquire the company for $54.20 per share, or about $43 billion.

Twitter confirmed it had received the bid but its board must still review the offer, which values shares much lower than the $70 they reached last summer. But Musk had said the offer would be his “best and final” one.

Asked by TED’s Chris Anderson if there was a “Plan B” if his current offer were rejected, Musk said, “there is.”

He declined to elaborate.

Despite his vast wealth, much of Musk’s assets are not liquid, leaving some analysts to wonder how he would provide the funds if his bid were accepted. Wells Fargo analysts, for example, said Thursday that Musk may have to sell Tesla shares to fund the takeover.

Anderson asked if Musk had “funding secured,” alluding to Musk’s infamous tweet when he said he would take Tesla private, which later got him into hot water with the Securities and Exchange Commission.

“I have sufficient assets,” Musk said. “I can do it if possible.”

The real GDP declined 3.4% in 2020 from the previous year. It was the largest drop since 1947, when the nation’s economy declined 11.6% after years of economic expansion fueled by World War II.
